CANDIDATE TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between Suitorly Pty Ltd (ABN 80 670 579 334) ("Suitorly", "we", "us", "our") and the individual who accesses or uses the Suitorly platform ("you", "your").

By creating an account, clicking "I Agree", purchasing a plan, or using Suitorly, you agree to these Terms.

1. Acceptance and eligibility

1.1 By accessing or using Suitorly, you agree to these Terms and the documents referenced in Section 26 (together, the Agreement).

1.2 You must be at least 18 years old and have legal capacity to enter into this Agreement.

1.3 If you do not agree, you must not use Suitorly.

2. Definitions

  • AI Features means artificial-intelligence-enabled tools provided by Suitorly, including drafting assistance, coaching feedback, mock interviews, matching assistance, interview scheduling support and related features.
  • AI Content means any text, feedback, suggestions, scores, categories, or other outputs generated by AI Features.
  • Career Tools means reflective tools, quizzes, prompts, scoring logic, and maps designed to support career thinking, learning, and preparation only. Career Tools are not psychological tests, psychometric assessments, or clinical tools and are not scientifically validated instruments.
  • Candidate Content means all information and materials you submit, upload, or input into Suitorly, including profiles, CVs, written responses, status updates (including interview or offer status), messages, and inputs to AI Features or Career Tools.
  • Programs means any coaching, training, onboarding, education, workshops, modules, or learning programs offered through Suitorly, whether self-paced, AI-assisted, live, recorded, or blended.
  • Status Update means any information you provide through the platform relating to the progress or outcome of an application or engagement, including interview offer status, acceptance, commencement, or conclusion of an employment opportunity.
  • Privacy Policy means Suitorly's Privacy Policy, as updated from time to time.

3. Nature and scope of the platform

3.1 Suitorly is a career, coaching, training, and recruitment SaaS platform that may provide:

  • Career Tools and career mapping;
  • AI Features for drafting, coaching, interview practice, and preparation;
  • Programs, including coaching, training, onboarding, and learning experiences;
  • Job discovery, matching, and tracking;
  • Tools to support interview scheduling or coordination;
  • Controlled, consent-based messaging with employers.

3.2 Suitorly provides educational, developmental, and preparatory services only.

3.3 Suitorly is not:

  • An employer, recruiter, or employment agency;
  • A registered training organisation (RTO);
  • A psychologist, psychiatrist, therapist, counsellor, or healthcare provider;
  • A provider of psychometric or clinical assessments.

3.4 Use of Suitorly does not create an employment relationship, fiduciary duty, therapeutic relationship, or professional advisory relationship.

3.5 Certain features or Programs may be offered on a paid, subscription, time-limited, or usage-based basis, as disclosed at checkout or in plan-specific terms.

4. Licence to use Suitorly

4.1 Suitorly grants you a personal, revocable, non-exclusive, non-transferable licence to use the platform for your own career development and job-search purposes.

4.2 You must not use Suitorly on behalf of an employer or organisation without prior written consent.

4.3 Features may be beta, experimental, or subject to change.

5. Accounts and security

5.1 You are responsible for maintaining accurate account details and safeguarding login credentials.

5.2 Third-party login services (SSO) are governed by their own terms and availability. Suitorly is not liable for outages or changes to SSO providers.

6. Discoverability, consent, and employer blocking

6.1 Candidate profiles are hidden by default.

6.2 Discoverability is opt-in and can be toggled on or off at any time.

6.3 If you opt in and later apply, match, or accept an introduction, you authorise Suitorly to disclose your identified profile only to that specific employer.

6.4 You may block specific employers. Blocking depends on the accuracy of employer identifiers and may not be effective in all circumstances.

6.5 Suitorly uses commercially reasonable measures to honour blocks, but cannot guarantee complete prevention if identifiers are outdated or entities change structure.

7. AI Features and limitations

7.1 AI Features are experimental, non-deterministic, and provided as general assistance only.

7.2 AI Content may contain errors, inconsistencies, or inappropriate outputs. You must review, verify, and validate all AI Content before use.

7.3 Suitorly is not liable for loss, damage, or employment outcomes arising from reliance on AI Content.

7.4 You must not use AI Features to generate unlawful, discriminatory, or defamatory content.

8. Career Tools are not psychometric tests

8.1 Career Tools support self-reflection and exploration only. They are not clinical, diagnostic, or validated instruments.

8.2 Results do not constitute professional advice, psychological assessment, or an evaluation of competence.

8.3 Do not rely on Career Tools for clinical, legal, or employment decisions.

9. Programs: coaching and training

9.1 Programs are educational resources and preparation tools, not vocational training, professional advice, or therapy.

9.2 Programs do not guarantee employment outcomes or career progression.

9.3 Participation in Programs does not create a professional services relationship or duty of care beyond the provision of program content.

9.4 If a Program includes live or scheduled sessions, you must comply with scheduling, rescheduling, and cancellation policies disclosed at enrolment.

10. Job listings and matching

10.1 Suitorly may display job opportunities from employers, third parties, or aggregators.

10.2 Suitorly does not verify the accuracy or legality of job listings and is not responsible for employer conduct or hiring decisions.

10.3 Matching algorithms use criteria you provide. Match quality depends on the completeness and accuracy of your input.

11. Fees, refunds, and subscriptions

11.1 Some features, Programs, or subscriptions require payment. Pricing is disclosed at checkout.

11.2 Subscriptions automatically renew unless cancelled before the renewal date.

11.3 Refunds: Refunds for Programs or subscriptions are governed by plan-specific terms disclosed at purchase. Unless otherwise stated, fees are non-refundable.

11.4 Suitorly may offer promotional pricing, discounts, or trials at its discretion.

12. Licence to Candidate Content

12.1 You retain ownership of Candidate Content, but you grant Suitorly a worldwide, non-exclusive, royalty-free licence to:

  • Host, process, and display Candidate Content for the purpose of providing the platform;
  • Use Candidate Content to train, improve, or develop AI models and features (see Section 13);
  • Disclose Candidate Content to employers where you have consented (see Section 6).

12.2 You must not submit content that infringes third-party rights or violates applicable law.

13. Use of content for AI training

13.1 Suitorly may use de-identified, aggregated, or anonymised Candidate Content to train, improve, or develop AI models.

13.2 Training data is processed in accordance with the Privacy Policy and may be used to improve matching algorithms, coaching feedback, and other AI Features.

13.3 If you do not wish your content to be used for AI training, you may contact Suitorly to opt out, subject to technical and operational feasibility.

14. Status Updates and employer feedback

14.1 You may provide Status Updates through the platform (e.g., "I was offered this role", "I accepted this offer").

14.2 Status Updates may trigger automated workflows, including notifications to employers or fee invoicing.

14.3 You warrant that Status Updates are accurate and submitted in good faith.

14.4 Suitorly may use Status Updates to measure platform effectiveness, calculate success metrics, and support billing processes.

15. Acceptable Use Policy

You must not:

  • Use Suitorly for unlawful, fraudulent, or deceptive purposes;
  • Submit false, misleading, or defamatory content;
  • Impersonate another person or misrepresent your credentials;
  • Reverse-engineer, scrape, or attempt unauthorised access to the platform;
  • Harass, threaten, or discriminate against others;
  • Upload malicious code, viruses, or harmful content.

16. Third-party links and services

16.1 Suitorly may link to or integrate with third-party sites, platforms, or services.

16.2 Suitorly does not endorse or assume responsibility for third-party content, availability, or practices. Use of third-party services is at your own risk.

17. Intellectual Property

17.1 Suitorly retains all rights to the platform, including software, design, content, branding, and AI models.

17.2 You may not reproduce, distribute, or create derivative works without written permission.

18. Privacy and data protection

18.1 Collection, use, and disclosure of personal information are governed by the Privacy Policy.

18.2 You consent to the processing of Candidate Content as described in the Privacy Policy.

19. Warranties and disclaimers

19.1 Suitorly is provided "as is" and "as available", without warranties of any kind.

19.2 Suitorly does not warrant that the platform will be error-free, secure, or uninterrupted.

19.3 AI Features, Career Tools, and Programs are experimental and not guaranteed to be accurate.

20. Limitation of liability

20.1 To the maximum extent permitted by law, Suitorly is not liable for any indirect, incidental, consequential, or special damages, including lost income, lost opportunities, or employment outcomes.

20.2 Suitorly's total liability under these Terms is limited to the fees you paid in the 12 months before the claim arose, or AUD $100, whichever is greater.

20.3 Nothing in these Terms excludes liability for fraud, gross negligence, or breaches that cannot be excluded under Australian Consumer Law.

21. Indemnity

You agree to indemnify and hold harmless Suitorly, its officers, employees, and contractors from any claims, losses, or expenses arising from your breach of these Terms, misuse of the platform, or violation of third-party rights.

22. Termination and suspension

22.1 Suitorly may suspend or terminate your account at any time for breach of these Terms, inactivity, or misuse.

22.2 You may close your account at any time via account settings.

22.3 Upon termination, access to paid features ceases. No refunds are provided unless required by law.

23. Changes to Terms

23.1 Suitorly may update these Terms at any time. Material changes will be notified via email or in-app notification.

23.2 Continued use after notification constitutes acceptance of the updated Terms.

24. Governing law and disputes

24.1 These Terms are governed by the laws of New South Wales, Australia.

24.2 Disputes must first be escalated to Suitorly's support team for good-faith resolution.

24.3 If unresolved, disputes are subject to the exclusive jurisdiction of the courts of New South Wales.

25. General provisions

25.1 Entire Agreement: These Terms constitute the entire agreement between you and Suitorly.

25.2 Severability: If any provision is invalid, the remainder remains enforceable.

25.3 No waiver: Failure to enforce a provision does not waive Suitorly's rights.

25.4 Assignment: Suitorly may assign these Terms. You may not assign without written consent.

EMPLOYER TERMS OF SERVICE

These Terms of Service ("Terms") form a legally binding agreement between Suitorly Pty Ltd (ABN 80 670 579 334) ("Suitorly", "we", "us", "our") and the organisation or individual accessing or using the Suitorly platform as an employer, hiring organisation, or authorised representative ("you", "your", "Employer").

By creating an account, clicking "I Agree", generating or posting a role, requesting an introduction, paying any fee, or otherwise using Suitorly, you agree to these Terms.

1. Acceptance and authority

1.1 By accessing or using Suitorly, you agree to these Terms and the documents referenced in Section 25 (together, the Agreement).

1.2 You represent and warrant that you:

  • are authorised to act on behalf of the hiring organisation (if applicable); and
  • have authority to bind that organisation to this Agreement.

1.3 If you do not agree to these Terms, you must not use Suitorly.

2. Definitions

  • AI Features means artificial-intelligence-enabled tools provided by Suitorly, including job description drafting, role calibration, anonymised matching, screening support, and interview coordination.
  • AI Content means any text, summaries, rankings, prompts, insights, or outputs generated by AI Features.
  • Employer Content means all information you submit to Suitorly, including job descriptions, role criteria, calibration inputs, feedback, communications, and hiring decisions.
  • Candidate Content means information submitted by candidates, including profiles, Suitorly 360 Profiles, responses, recordings, and status updates.
  • Introduction means the disclosure of a candidate's identified profile to an Employer following that candidate's express, role-specific consent.
  • Introduction Fee means the fixed fee payable for an Introduction, as disclosed at checkout or in plan-specific terms.
  • Hiring Fee (also referred to as Placement Fee) means the flat fee payable if an Employer hires or engages a candidate introduced through Suitorly, determined by the applicable Base Salary Band selected at role creation.
  • Base Salary Band means the Base Salary Band selected by the Employer at role creation which determines the applicable Hiring Fee.
  • Associated Entity has the meaning given in section 50AAA of the Corporations Act 2001 (Cth).
  • Privacy Policy means Suitorly's Privacy Policy, as updated from time to time.

3. Nature and scope of the platform

3.1 Suitorly is a recruitment-technology SaaS platform that may provide:

  • AI-assisted job description drafting and role calibration;
  • Anonymised candidate matching;
  • Consent-based Introductions;
  • Screening and shortlisting tools;
  • Interview scheduling and coordination functionality.

3.2 Suitorly provides technology and facilitation services only.

3.3 Suitorly is not:

  • An employment agency, recruiter, or labour-hire provider;
  • An employer of record;
  • A party to any employment or engagement contract;
  • Responsible for hiring decisions or employment outcomes.

3.4 Use of Suitorly does not create an agency, fiduciary, partnership, joint venture, or employment relationship between you and Suitorly.

4. Licence to use Suitorly

4.1 Suitorly grants you a revocable, non-exclusive, non-transferable licence to use the platform for lawful hiring and recruitment purposes.

4.2 Features may be beta, experimental, or subject to change.

5. Job creation, AI Features, and human decision-making

5.1 You may use AI Features to generate or refine job descriptions and role criteria based on information you provide.

5.2 You remain solely responsible for:

  • Reviewing and approving all job-related content;
  • Ensuring compliance with employment, workplace, and anti-discrimination laws;
  • Ensuring role requirements are lawful, accurate, and non-misleading.

5.3 Human-in-the-loop requirement. You warrant that you will not rely solely on AI Features for any employment decision and will ensure that a human decision-maker reviews all candidates before rejection or offer.

5.4 AI Content is provided for drafting, calibration, and assistance purposes only. AI Content does not determine, recommend, or make any employment decision, and must not be treated as determinative or decisive in any hiring outcome.

5.5 Suitorly is not liable for hiring decisions, employment outcomes, or claims arising from discrimination, bias, or unlawful job criteria.

6. Candidate matching and anonymised profiles

6.1 Suitorly may present anonymised candidate profiles based on role criteria and matching logic.

6.2 Anonymised profiles do not contain identifying information until an Introduction is made.

6.3 Match quality depends on the accuracy and completeness of role criteria you provide.

7. Introductions and candidate consent

7.1 An Introduction occurs when a candidate consents to disclose their identified profile to you for a specific role.

7.2 Candidate consent is role-specific, time-limited, and may be revoked by the candidate at any time.

7.3 You acknowledge that you access Candidate Content only with the candidate's explicit consent, under the terms set out in Section 8.

7.4 Suitorly is not responsible for candidate availability, suitability, qualifications, or interview attendance.

8. Access to Candidate Content and data controller obligations

8.1 You are a data controller in respect of any Candidate Content you access via the platform.

8.2 You must:

  • Handle Candidate Content confidentially and in accordance with applicable privacy laws;
  • Use Candidate Content solely for the purpose of assessing candidates for the relevant role and recruitment process;
  • Not share, copy, or repurpose Candidate Content for unrelated purposes;
  • Ensure internal access is restricted to authorised personnel only;
  • Comply with employment, anti-discrimination, and workplace laws when assessing candidates or making hiring decisions.

8.3 Suitorly does not act as a data processor on behalf of Employers.

8.4 Employers who access personal information through the platform are contractually required under the Employer Terms of Service to handle such information confidentially, limit access to authorised roles, and use it solely for the relevant hiring process.

9. Interview coordination and scheduling

9.1 Suitorly may provide tools to facilitate interview scheduling between you and candidates.

9.2 You remain solely responsible for interview conduct, decisions, and compliance with applicable laws.

9.3 Suitorly is not liable for scheduling conflicts, no-shows, technical issues, or interview outcomes.

10. Introduction Fees

10.1 Introduction Fees are disclosed at checkout and are payable when an Introduction is made.

10.2 Introduction Fees are non-refundable, regardless of hiring outcome.

10.3 Payment may be required upfront or via invoice, as determined by plan type or payment terms agreed with Suitorly.

11. Hiring Fees, Base Salary Bands, payment, and interest

11.1 Hiring Fees are flat fees determined by the Base Salary Band selected at role creation and disclosed upfront.

11.2 The applicable Hiring Fee is fixed when the role is created and remains binding regardless of subsequent changes to salary or role details.

11.3 A Hiring Fee becomes payable when:

  • An offer is accepted by the candidate; and
  • Acceptance is evidenced by contract execution or written confirmation.

11.4 Hiring Fees are invoiced upon confirmation of acceptance and are payable within 14 days of the invoice date.

11.5 If any amount payable under these Terms is not paid when due, Suitorly may charge interest at 1.5% per month (or the maximum rate permitted by law) on overdue amounts, and you agree to reimburse Suitorly for all reasonable costs incurred in connection with recovery, including legal fees.

11.6 Hiring Fees are non-refundable.

12. Associated Entities and fee avoidance

12.1 A Hiring Fee is payable if a candidate introduced through Suitorly is hired or engaged by you or any Associated Entity within 12 months of Introduction.

12.2 "Hired or engaged" includes direct employment, contract engagement, secondment, or any arrangement in which the candidate performs work for you or an Associated Entity.

12.3 This clause applies even if the candidate is hired for a different role, at a different time, or via a different recruitment channel.

13. Candidate replacement guarantee

13.1 If a candidate you hire through Suitorly resigns or is terminated within 90 days of commencement, Suitorly will provide a replacement Introduction for the same role at no additional Hiring Fee.

13.2 To claim the guarantee, you must notify Suitorly in writing within 7 days of the candidate's departure.

13.3 The guarantee does not apply if:

  • The role is no longer available;
  • The departure was due to redundancy, restructure, or circumstances beyond performance or fit;
  • The Hiring Fee remains unpaid.

13.4 The guarantee does not include a refund of the original Hiring Fee or Introduction Fee.

14. Status updates and invoicing triggers

14.1 Candidates may provide Status Updates (e.g., "I accepted an offer") through the platform.

14.2 Status Updates may trigger automated invoicing for Hiring Fees.

14.3 You must notify Suitorly within 7 days if you believe a Status Update is inaccurate or a Hiring Fee has been incorrectly triggered.

14.4 If no objection is raised within 7 days, the Status Update is deemed accurate and the Hiring Fee remains payable.

15. Licence to Employer Content

15.1 You retain ownership of Employer Content, but you grant Suitorly a worldwide, non-exclusive, royalty-free licence to:

  • Host, process, and display Employer Content for the purpose of providing the platform;
  • Use Employer Content to train, improve, or develop AI models and matching logic;
  • Aggregate or anonymise Employer Content for analytics, research, or platform improvement.

15.2 You must not submit content that infringes third-party rights or violates applicable law.

16. Acceptable Use Policy

You must not:

  • Post false, misleading, unlawful, or discriminatory job descriptions;
  • Use the platform to collect candidate data for purposes unrelated to recruitment;
  • Share, scrape, or repurpose Candidate Content without consent;
  • Discriminate against candidates on the basis of protected attributes;
  • Reverse-engineer, scrape, or attempt unauthorised access to the platform;
  • Avoid or circumvent Hiring Fees by hiring candidates outside the platform.

17. Third-party links and services

17.1 Suitorly may link to or integrate with third-party sites, platforms, or services.

17.2 Suitorly does not endorse or assume responsibility for third-party content, availability, or practices. Use of third-party services is at your own risk.

18. Intellectual Property

20.4 Suitorly does not verify candidate qualifications, experience, or suitability and is not responsible for hiring outcomes.

21. Limitation of liability

21.1 To the maximum extent permitted by law, Suitorly is not liable for any indirect, incidental, consequential, or special damages, including lost revenue, lost opportunities, or hiring outcomes.

21.2 Suitorly's total liability under these Terms is limited to the fees you paid in the 12 months before the claim arose.

21.3 Nothing in these Terms excludes liability for fraud, gross negligence, or breaches that cannot be excluded under Australian Consumer Law.

24.2 Continued use after notification constitutes acceptance of the updated Terms.
